01Purpose

These Terms and Conditions govern the engagement of the services Aqui Group SAS provides through this site and through the contact channels listed here. By requesting a proposal or engaging a service, the client accepts these conditions.

Aqui Group SAS provides IT consulting services: the design, development, maintenance and operation of bespoke software, the integration of artificial intelligence into existing systems, the development of conversational assistants, and technical consulting. No physical goods are sold, so there is no shipment of merchandise and no shipping policy applies.

02How a service is engaged

Every service is bespoke. There is no fixed price list and no immediate online purchase: each engagement is quoted after the specific problem is understood. The process is as follows.

1. Enquiry. The prospective client writes through the contact form on this site, by email to hola@aquigroup.uy, or on WhatsApp at +598 91 771 110.

2. Discovery call. A call of roughly 30 minutes is arranged, at no cost and with no obligation to engage, in order to understand the scope of the work.

3. Written proposal. Within the following working days a proposal is sent by email setting out the scope, the deliverables, the schedule, the price and the payment terms.

4. Acceptance. The contract is formed when the client accepts the proposal in writing, by email. The accepted proposal, together with these Terms, constitutes the agreement between the parties.

5. Advance payment. The advance stated in the proposal is paid. Online payments are processed through dLocal Go; local bank transfer is also accepted.

6. Execution. Development proceeds with deliveries every two weeks, with permanent client access to the work in progress.

7. Go-live and balance. Once development is complete the system goes live and the balance is paid as set out in the proposal.

8. Support. Where the proposal includes maintenance, the service continues under the agreed monthly terms and price.

03Scope of bespoke services

The scope of each engagement is exclusively what the accepted proposal states. Any feature, integration or request not set out in it is treated as out of scope and is quoted separately before being carried out.

The timeframes given in the proposal are estimates and are conditional on the client supplying the necessary information, access and approvals on time. Delays attributable to the client shift the schedule by the same amount.

04Prices, currency and taxes

Prices are set in each proposal, expressed in United States dollars (USD) or Uruguayan pesos (UYU). Amounts exclude Value Added Tax, which is added where applicable under Uruguayan law in force.

A quoted price is valid for 30 calendar days from the date of the proposal.

05Payment methods

Local bank transfer is accepted, as are online payments processed by dLocal Go, which supports credit cards, debit cards and other methods depending on the client's country.

Unless the proposal states otherwise, an advance of 50% is paid on acceptance and the remaining 50% on go-live. Monthly maintenance services are invoiced in advance.

Aqui Group SAS does not store card details. Payment processing is carried out entirely by the payment processor.

06Cancellation and refunds

The client may cancel the engagement at any time by giving written notice to hola@aquigroup.uy. Work actually carried out up to the date of that notice is invoiced, and any unapplied balance of the advance is refunded within 30 calendar days, by the same means the payment was made.

If Aqui Group SAS is unable to complete the engaged service, 100% of the amounts paid and not carried out is refunded, within the same period and by the same means.

Monthly maintenance services may be cancelled on 30 calendar days' notice, without penalty. Months already begun are not refunded.

Because this is bespoke development, work already carried out and delivered is not refundable, without prejudice to the warranty set out below.

07Warranty

For 90 calendar days following go-live, defects in the delivered software that depart from what the accepted proposal specified are corrected at no charge.

The warranty does not cover change requests or new features, failures originating in third-party services, modifications made by the client or by third parties to the delivered code, or problems arising from infrastructure not administered by Aqui Group SAS.

08Intellectual property

Once the full price has been paid, the source code and the deliverables developed specifically for the client belong to the client.

Aqui Group SAS retains ownership of its pre-existing or general-purpose components, libraries, tools and methodologies, which are licensed to the client on a non-exclusive, perpetual and irrevocable basis for the use of the delivered product.

The platforms owned by Aqui Group SAS are not assigned under these Terms.

09Confidentiality

All business, technical or commercial information accessed during the engagement is treated as confidential and is not disclosed to third parties, except where required by law. This obligation survives the end of the contract.

Aqui Group SAS may publicly refer to the existence of the commercial relationship and give a general description of the work, unless the client states otherwise in writing.

10Liability

Aqui Group SAS is liable for direct damages actually caused by breach, up to a maximum equal to the total amount paid by the client in the twelve months preceding the event giving rise to the claim.

No liability is accepted for loss of profit, for loss of data attributable to the client or to third parties, or for interruptions of third-party services outside the operation of Aqui Group SAS.

11Personal data protection

The processing of personal data is governed by Uruguayan Law No. 18.331 on the Protection of Personal Data and Habeas Data, and its implementing regulations. The detail is set out in the Privacy Policy on this site.

12Amendments

These Terms may be updated. The version applicable to each engagement is the one in force on the date the corresponding proposal is accepted. The date of last update appears at the top of this document.

13Governing law and jurisdiction

These Terms are governed by the law of the Eastern Republic of Uruguay. For any dispute the parties submit to the jurisdiction of the courts of Montevideo.
